This TEMPLATE LICENCE TERMS AND CONDITIONS OF USE AGREEMENT («Agreement») is an agreement between Newlement Group («Company») and the party set forth in the related order form («Customer» or «you») incorporated herein by this reference (together with any subsequent order forms submitted by Customer, the «Order») and applies to the all products ordered by the Customer on the Order (collectively, the «Products»). The parties understand, acknowledge and agree that this is an online agreement which is being entered into in conjunction with the Order. Both parties understand, acknowledge and agree that the Company will grant the Customer non-exclusive limited license to use the templates sold through our website www.zen-cart-power.com accordance with this Agreement.
By the products described in this document are meant templates provided by Company on a paid basis under this license agreement. The products may be used only in accordance with the terms of that license agreement. It is against the law to copy or use the software except as specifically allowed in the license. Use of the products implies that you have read and accepted these Terms.
You may be granted a One Time Usage License in case of purchasing a template at a specified price on product detailed page. It enables you to use each individual product on a single website only, belonging to either you or your client. You have to purchase the same product again if you to use it in connection with another or other projects (websites).
All imagery, clipart and fonts used in our products (except original Zen Cart images) are royalty-free and are the integral part of our products. One Time Usage License give you the right to use images, clipart and fonts only as a part of one website. You can use imagery, clipart and fonts to develop one project only. Any kind of separate usage or distribution is strictly prohibited. All images and illustrations used in products come in a single layer, as is. Banner and product images shown on DEMO page are for DEMO purpose only. Templates installation packages do not include DEMO purposed images. Templates installation packages do not include DEMO purposed images thus installation packages will not exactly match the DEMO as the defualt products can differ from demo products and banner! Installed template will match the control buttons and style used for the template shown on DEMO page.
You are authorized to make necessary modification(s) to our products to fit your purposes in accordance with these Terms. In case you modify anything you take all the responsibilities for the modification affects. Company provides custom development and other services on a paid basis. Free support is not included in the License. Support is only provided on a paid basis.
You shall not offer the products for redistribution or resale of any kind without prior written consent from Company.
You shall not sub-license, assign, or transfer the any mentioned above to any entity without prior written consent from Company.
You do not claim intellectual property right or exclusive ownership to any of our products, modified or unmodified. Our products are provided "as is" without warranty of any kind, either expressed or implied. In no event shall our company or its agents be liable for any damages including, but not limited to, direct, indirect, special, punitive, incidental or consequential, or other losses arising out of the use of or inability to use our products.
We do not install any of our products. Installation is a paid service which is not included in the package price.
Customer purchase can be suspended for manual antifraud check for 10-30 minutes as well as it can be suspended for a longer term for more serious investigations. Antifraud check occurs because of growing number of fraud transactions from persons who are not actual cardholders of the credit cards used during purchase.
Company may use third parties to provide certain services accessible through the website. Company does not control these third parties or their services, and you agree that our company will not be liable to you in any way for your use of such services. These third parties may have their own terms of use and other policies. You agree to comply with such terms and policies as well as these. If any such terms or policies conflict with Company's terms, agreements or policies, you must comply with those of Company.
You may not disclose any order information including, but not limited to, Order ID, download link, etc.
Company may change or modify these Terms without prior notice on the License-info page of zen-cart-power.com.
